ChecksOn.Me - Terms & Conditions

NOTICE: This Agreement is a binding contract between you, the user ("Patron" or "You"), and ChecksOn.Me, Inc. ("ChecksOn.Me," "we," or "us"). Please review these terms carefully, especially the sections regarding payment authorization, gratuity, and dispute resolution.

By using the ChecksOn.Me mobile application, website, or related services (the "Services") to open or pay a tab at a participating bar or restaurant ("Merchant"), you agree to be bound by these terms.

PART I: GENERAL USE AND ELIGIBILITY

1. Acceptance and Eligibility

By using the Services, you agree to these Terms of Service. The Services are offered and available only to users who are 18 years of age or older or, where a higher minimum age is required for alcohol purchases, the legal drinking age in the relevant jurisdiction.

1.1 Alcohol Purchase and Age Restrictions

You acknowledge that using the Services to purchase or pay for alcohol is strictly subject to the local, state, and federal laws of the jurisdiction where the Merchant is located. By using the Services to purchase alcohol, you represent and warrant that you are of legal drinking age in that jurisdiction. You understand that the Merchant is solely responsible for verifying your legal age and sobriety prior to serving alcohol.

2. Services Description

ChecksOn.Me provides a digital payment solution that allows you to open, manage, and close virtual tabs at participating Merchants. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

3. Intellectual Property and User Content

The Services and all related software and design are the proprietary property of ChecksOn.Me. You retain ownership of any data or content you submit through the Services, but you grant ChecksOn.Me a license to use that data for the purpose of operating and improving the Services.

4. Disclaimers and Limitation of Liability

Role of ChecksOn.Me: You acknowledge and agree that ChecksOn.Me is strictly a technology platform and payment facilitator. We are not a party to the underlying transaction for the purchase of goods or services between you (the Patron) and the Merchant.

AS IS/AS AVAILABLE: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. ChecksOn.Me disclaims all warranties, express or implied.

Limitation of Liability: ChecksOn.Me and its payment processor will not be liable for any damages, losses, or liability arising out of or related to:

  • Merchant Errors: Any disputes over the quality, quantity, price, or description of goods or services provided by the Merchant. This includes incorrect billing, inventory errors, or service issues.

  • Patron Errors: Any errors made by you, including incorrect tip entry, choosing the wrong open tab, or entering incorrect payment details.

  • System Failures: Any failure, delay, or unavailability of the Merchant’s internet connection, point-of-sale (POS) system, or any third-party software that impacts the transaction.

In no event shall ChecksOn.Me be liable for any indirect, consequential, punitive, incidental, or special damages, or for lost profits, even if advised of the possibility of such damages.

PART II: PAYMENT, TIPPING, AND DISPUTES

5. Payment Information and Authorization

You warrant that any payment card information provided is correct, and you will update your details if your card information changes.

  • Payment Method Warranties: By submitting or linking any payment method, you represent and warrant that you are the legal owner of the payment method and have all necessary rights, permissions, and allowances to use it for transactions on the ChecksOn.Me platform.

  • Required Data Collection and Sharing: You agree to the collection of the following personal data, which is required to process payments, verify your identity, and ensure compliance:

    • Full Name: Required for the Merchant to identify and differentiate your specific open tab from others. Your name will always be shared with the Merchant.

    • Billing Address: Required by our payment processor for payment card verification (AVS).

    • Date of Birth (DOB): Required for additional age verification and compliance, especially for transactions involving age-restricted products.

    • Further details on how this data is used and protected are in our Privacy Policy.

  • Tab Authorization: By opening a tab, you authorize the Merchant and ChecksOn.Me to place a temporary hold (pre-authorization) on your payment method. The amount varies by location and is determined by the merchant.

6. Tipping and Gratuity Policy

The Services facilitate the tipping of Merchant staff with the following rules:

  • Default Gratuity: All tabs are initially set with a default gratuity of 20% of the pre-tip total.

  • Guest Users (Non-Members): If you use the Services as a Guest User (without a Member account), the gratuity is finalized at the time the tab is opened. No edits will be allowed once the tab is open.

  • Members in Good Standing (Flexible Tipping): If you are a Member in Good Standing, you are allowed to adjust the final gratuity amount after the tab is closed, within a predetermined edit window. Once this edit window closes, the tip amount is final and is not subject to further edits. The edit window is determined by the Merchant and is subject to their policies.

7. Tab Closure and Finalization

Merchant's Responsibility: You acknowledge that the Merchant's staff is solely responsible for finalizing the bill and closing your tab before the end of the business day, regardless of whether you signal closure via the Services or directly to the staff.

Patron Responsibility for Verification: By allowing your tab to be automatically closed by the Merchant (i.e., by leaving the premises without explicitly verifying the final total with staff), you accept and agree to the final amount charged to your payment method, including the default  gratuity as determined by Section 6. This implies you are in agreement with the final total, and you authorize ChecksOn.Me to finalize the transaction and charge your payment method on file for the outstanding balance. You are responsible for verifying your total with the bar staff before the tab is closed.

8. Dispute Resolution and Bad Actors

By opening a bar tab, you unconditionally agree to pay the final total amount presented, including the calculated gratuity/tip.

  • Initial Resolution: You agree that any dispute regarding the final total must first be brought to and resolved directly with the Merchant (the bar or restaurant) staff.

  • Internal Review: If the dispute cannot be resolved with the Merchant, you must then notify and file a formal dispute with ChecksOn.Me directly using the contact information provided in Section 11. ChecksOn.Me will investigate the matter internally before any external chargeback proceedings may be initiated.

  • Last Resort: Initiating a formal chargeback or dispute process through your payment card issuer is strictly a last resort method, to be used only after attempting resolution with the Merchant and completing the ChecksOn.Me internal review process.

  • Abuse and Banning:Patrons who demonstrate a pattern of abuse or fraudulent activity related to payment disputes or chargebacks may be flagged as a "bad actor" and banned from using the ChecksOn.Me product and Services.

9. Unpaid Balances and Declined Cards

In the event your payment card declines, leaving a check unpaid, you acknowledge that:

  • Reprocessing Right: ChecksOn.Me reserves the right to attempt to re-process the payment on your card or any other payment method linked to your account, in accordance with card network rules and applicable law.

  • Collections: If after multiple charge attempts we are still unable to collect the owed payment, the Merchant may have a digital record of you as a "bad actor." You agree that ChecksOn.Me and the Merchant may pursue collection activities for the unpaid balance, and you will be responsible for any associated costs.

PART III: LEGAL AND MISCELLANEOUS TERMS

10. Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by the laws of the State of Delaware.

Dispute Resolution: All disputes arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA").

  • Venue for Arbitration: The seat of arbitration shall be New York County, New York.

  • Waiver of Jury Trial: You and ChecksOn.Me waive any constitutional and statutory rights to a jury trial.
